Senior PartnerMellena Zou is a partner at AllBright Law Offices in Shanghai. Her practice areas include banking and finance, securities and capital markets, and real estate. Ms. Zou has spent her career focusing primarily on banking and finance and has provided numerous domestic and overseas financial institutions with legal services concerning bank loans, trust management plans, bank wealth management products and trust fund products, as well as special legal services concerning reorganization, mergers and acquisitions, corporatization of foreign banks, and cross-border payments. Ms. Zou also is highly experienced in advising on private equity funds. She has successfully handled multiple business stages of private equity funds, from seed capital, series A financing, and pre-IPO financing, to reorganization, restructuring and equity withdrawal. She has advised on asset restructuring, domestic and overseas private equity financing for over 20 listed companies and provided legal services to large and medium-sized enterprises involving third party payments, real estate, financial software, biomedicine, machinery manufacturing, digital technology, digital video, chemical engineering, and tourism. In addition, Ms. Zou has more than 7 years of business experience in the practice of real estate, including real estate investment and financing, restructuring of real estate enterprises, establishment of project companies, project negotiations, credit investigations, issuance of legal opinions, joint review of contracts, legal services related to the transfer of land-use rights, legal services related to project tendering and bidding, and legal services related to relocation and demolition. Before becoming a lawyer,Ms. Zouserved as theheadof theChinese representative office of a foreign company. Ms. Zou is also engaged in publishing numerous works, including the compilation of a bookInterpretation of Regulations for Mainland Enterprises Investing in Taiwan (2011), which belongs to the Series on Laws of Mainland China, Hong Kong, Macao and Taiwan. In September 2012, she received an Excellence Award for her academic paper entitled,Discussions on China’s Food Safety Regulation System from the Perspective of Duplicate Law Enforcement during the 2nd annual “Legal Forum for Beijing, Tianjin, Shanghai and Chongqing”. Ms. Zou obtained a bachelor’s degree in economics and management and a dual LL.B. from Huaqiao University. She is now a part-time graduate student at the East China University of Political Science and Law. Ms. Zou is a member of Banking and Insurance Committee of Shanghai Bar Association and a member of Shanghai Law Society. Ms. Zou is a practicing lawyer in China. Her working languages are Mandarin and English.
