Ms. Yin's main practice areas include cross-border investment and mergers and acquisitions, foreign direct investment in China, reinvestment and mergers and acquisitions, corporate legal advisory, restructuring and mergers and acquisitions, financial securities and capital markets, private equity investment and venture capital, among others. He serves as the long-term legal advisor for several listed companies, foreign-invested companies, and outstanding private enterprises.
With nearly 20 years of legal experience, Ms. Yin's specializes in domestic and international investment and mergers and acquisitions, cultural and commercial tourism resource integration, structural design and risk control asset management, commercial negotiations, resource integration, investment and financing, and domestic and international dispute resolution.
Ms. Yin's project experience spans multiple fields, including commercial real estate, cultural tourism real estate financing, well-known fund investment and financing, asset securitization, foreign direct investment, industrial policy guidance, and entrusted investment promotion. He provides long-term advisory services to numerous Chinese and foreign enterprises and government agencies.
Ms. Yin maintains close cooperation with several renowned private equity investment institutions, offering comprehensive legal services such as project selection assistance, due diligence, drafting and revising transaction documents, and issuing legal instruments, as well as corresponding commercial litigation and arbitration services for their equity investments and mergers and acquisitions.
Ms. Yin has provided full-process legal services for the infrastructure projects of several state-owned enterprises in Shanghai and Suzhou, including land transfer, project financing, real estate sales and leasing, and hotel management.
Representative Cases:
Collaborated with an internationally renowned law firm to assist a Chongqing-based group company in completing the acquisition of equity and assets of a multinational group (this project was regarded by the Ministry of Commerce as a successful model for Chinese companies' overseas mergers and acquisitions).
As the representative lawyer for a German-funded enterprise, assisted in the establishment of a factory in Yingkou and handled subsequent domestic legal advisory matters for the enterprise.
As the representative lawyer for a private enterprise, assisted in the completion of its acquisition by a multinational corporation. Collaborated with an internationally renowned law firm to assist a well-known domestic securities company in acquiring the equity of a domestic financial group held by TPG.
As the representative lawyer for a Chongqing-based group company, assisted in the completion of a tender offer for partial equity of a well-known Danish beer brand company (this project was successfully selected as one of the "Deals of the Year 2014" by China Business Law Journal).
Provided legal opinions for the registration and filing of managers for multiple private equity funds and assisted several funds in completing numerous domestic and international investment and acquisitions, offering comprehensive legal services including project selection assistance, due diligence, drafting and revising transaction documents, and issuing legal instruments.
Assisted a financial leasing company in completing overseas bond issuance and provided annual legal opinion updates for the project. Assisted a company in the asset securitization project for real estate purchase tail payments (ABS) and warehouse leasing asset securitization project (CMBS), and assisted in obtaining approval for Shanghai's first state-owned enterprise CMBS (commercial real estate mortgage-backed securities).
Assisted a digital technology enterprise under Yicai in completing mixed-ownership reform and provided long-term legal advisory services.
